ADVERTISER TERMS

1. INTRODUCTION

These Advertiser Terms (“Advertiser Terms”) apply to advertising, sponsored-content, promotional, marketing and related services provided by Accra Hype.

They apply to advertisers, brands, agencies, public-relations firms, event organisers, creators and other clients purchasing or requesting advertising services (“Advertiser”).

These Advertiser Terms should be read together with the Accra Hype Terms of Use, Privacy Policy and any applicable written campaign agreement.

2. ADVERTISING SERVICES

Accra Hype may provide:

  • website advertising;

  • social-media advertising;

  • sponsored posts;

  • sponsored articles;

  • branded videos;

  • interviews;

  • event promotion;

  • product features;

  • campaign promotion;

  • influencer/creator campaigns;

  • promotional competitions;

  • brand partnerships;

  • social-media campaigns;

  • content production; and

  • other agreed services.

The specific services will depend on the quotation, proposal, media kit, campaign brief, invoice or written agreement.

3. ACCEPTANCE OF ORDERS

An advertising booking becomes binding when accepted by Accra Hype through:

  • written confirmation;

  • signed agreement;

  • accepted quotation;

  • accepted proposal;

  • purchase order accepted by Accra Hype; or

  • another written confirmation.

Accra Hype may decline a booking.

4. ADVERTISER RESPONSIBILITIES

The Advertiser is responsible for ensuring that all supplied:

  • advertisements;

  • logos;

  • photographs;

  • videos;

  • copy;

  • claims;

  • trademarks;

  • music;

  • testimonials;

  • product information; and

  • other materials

are accurate, lawful and authorised for use.

5. ADVERTISING CLAIMS

Advertisers must not provide misleading, deceptive, fraudulent or unlawful claims.

The Advertiser is responsible for substantiating claims concerning:

  • products;

  • prices;

  • discounts;

  • competitions;

  • health;

  • financial matters;

  • performance;

  • testimonials;

  • endorsements; and

  • other representations.

Accra Hype may request evidence supporting claims before publication.

6. CONTENT APPROVAL

Where applicable, Accra Hype may provide draft content to the Advertiser for approval.

The Advertiser is responsible for reviewing approved content carefully.

Once the Advertiser approves content, changes requested afterward may incur additional charges or affect publication schedules.

7. EDITORIAL CONTROL

Accra Hype reserves the right to:

  • reject advertising;

  • request modifications;

  • refuse unlawful claims;

  • refuse misleading material;

  • edit content for technical or legal reasons; and

  • remove advertising where reasonably necessary.

Paid sponsorship does not automatically guarantee positive editorial coverage or a particular editorial opinion.

8. SPONSORED CONTENT

Sponsored content may be identified as:

  • Sponsored;

  • Paid Partnership;

  • Advertisement;

  • Promoted;

  • Brand Partner;

  • Commercial Content; or

  • another appropriate designation.

The specific labelling may depend on the Platform and applicable requirements.

9. INTELLECTUAL PROPERTY

The Advertiser grants Accra Hype the rights necessary to use supplied materials for the agreed campaign.

The Advertiser warrants that it has the rights and permissions necessary for those materials.

Unless expressly agreed otherwise, Accra Hype retains ownership of its pre-existing intellectual property, templates, production methods, branding and original materials.

10. PAYMENT

Accra Hype does not currently process advertising payments directly through www.accrahype.com.

Payment arrangements will be communicated separately.

Payment may be required:

  • in advance;

  • upon invoice;

  • according to an agreed payment schedule; or

  • according to a separate written agreement.

The applicable quotation or commercial agreement will specify payment terms.

11. LATE PAYMENT

Where an invoice remains unpaid after the agreed due date, Accra Hype may, subject to applicable law and the relevant agreement:

  • suspend future services;

  • delay publication;

  • suspend campaigns;

  • require advance payment;

  • recover reasonable collection costs; or

  • terminate the relevant booking.

Any interest or late-payment charge will apply only where expressly agreed and legally permitted.

12. CANCELLATION

Cancellation terms may be specified in the relevant quotation or campaign agreement.

Where no specific cancellation terms have been agreed, Accra Hype may recover reasonable costs already incurred in preparing or producing the campaign, subject to applicable law.

13. CAMPAIGN PERFORMANCE

Unless expressly guaranteed in writing, Accra Hype does not guarantee:

  • a particular number of views;

  • likes;

  • comments;

  • followers;

  • clicks;

  • conversions;

  • sales;

  • leads;

  • impressions;

  • engagement rates; or

  • other commercial results.

Social-media algorithms and third-party platforms are outside Accra Hype's control.

14. THIRD-PARTY PLATFORM CHANGES

Advertising delivered through Facebook, Instagram, TikTok, X, Snapchat, YouTube or another third-party platform is subject to that platform's rules and technical limitations.

Accra Hype is not responsible for changes made by those platforms that affect campaign performance or availability.

15. CLIENT WARRANTIES

The Advertiser warrants that:

  1. it has authority to enter the advertising agreement;

  2. supplied materials are accurate;

  3. supplied materials do not infringe third-party rights;

  4. advertising claims are lawful and appropriately substantiated;

  5. necessary licences and permissions have been obtained; and

  6. the campaign complies with applicable laws and regulations.

16. INDEMNITY

To the fullest extent permitted by law, the Advertiser agrees to indemnify Accra Hype against claims, losses, liabilities, damages and reasonable costs arising from:

  • supplied advertising materials;

  • unlawful advertising claims;

  • infringement of third-party rights;

  • defective or unlawful products or services;

  • lack of required permissions;

  • breach of these Advertiser Terms; or

  • the Advertiser's unlawful conduct.

17. CONFIDENTIAL INFORMATION

Where the parties exchange confidential business information, each party should take reasonable steps to protect that information.

Specific confidentiality obligations may be included in a separate agreement.

18. TERMINATION

Accra Hype may suspend or terminate an advertising campaign without refund where:

  • payment is overdue;

  • supplied content is unlawful;

  • the Advertiser breaches the agreement;

  • the campaign creates significant legal or reputational risk;

  • the Advertiser provides materially misleading information; or

  • another legitimate reason requires termination.

19. LIABILITY

To the fullest extent permitted by law, Accra Hype is not liable for indirect or consequential loss arising from advertising services.

Nothing in these Terms excludes liability that cannot legally be excluded.

20. GOVERNING LAW

These Advertiser Terms are governed by the laws of the Republic of Ghana.
